An important message to all shareholders of Rockwell Diamonds
On March 23, 2009, Rockwell Diamond's largest shareholder, Pala Investment Holdings Limited (Pala), requisitioned a special shareholders' meeting of Rockwell Diamonds Inc.
Rockwell's management had acknowledged Pala's meeting requisition and in good faith engaged in a dialogue with Pala in order to arrange for the special shareholders' meeting to be held in conjunction with the annual general meeting.
During these difficult economic times, Rockwell's management suggested combining the two meetings in an effort to achieve significant cost savings for our shareholders.
Instead, on April 29, 2009, Pala called a special shareholders' meeting to be held in Vancouver on June 17, 2009 to do the following:
- Make changes to the current board of directors
- Amend and terminate the Shareholder Rights plan
The Executive Directors of Rockwell, namely John Bristow, CEO, David Copeland, Chairman, and Mark Bristow, Director are responding to the special shareholders meeting requisitioned by Pala.
Message from the Executive Directors
"On behalf of the three Executive Directors I want to set the record straight," said David Copeland, Chairman. "We see Pala's proposal to remove the Executive Directors and to terminate Rockwell's shareholders rights plan as yet another attempt to control the Company - this time, as a kind of cashless takeover. The information circular prepared by the Executive Directors on behalf of Rockwell that will be mailed to shareholders in due course will offer a competing financial plan and going-forward vision that will protect the interests of all our shareholders."
